The USA winger wants to leave Chelsea because of his lack of game time, but there were concerns that the Serie A club would be unable to match his wages at Stamford Bridge.
However, with an indication that he is willing to lower those demands, personal terms have now been agreed.
Ligue 1 side Lyon also expressed an interest in signing him, but his preference has always been for Milan.
The Premier League club are looking for a fee of around £20 million for him.
If and when he does join the Rossoneri, he will find familiar faces waiting for him, in the form of former Chelsea team-mate Ruben Loftus-Cheek, who made his own move earlier this week.
